JOB TITLE: Corporate Governance Secretary, Office Manager and Executive Assistant
STATUS: Full-Time Exempt (minimum 40 hours)
REPORTS TO: President and CEO and Chief Financial and Operating Officer
LOCATION: Remote office with the ability to travel as needed
Basic Functions: Responsible for managing edRISK boards and committees, day-to-day operations of edRISK and its associated programs, oversight of the administration and business processes of edRISK, and executive assistant support.
Primary Responsibilities:
Corporate Governance Secretary
- Point of contact for members of our Boards and Committees (Five boards, 10 committees)
- Schedule the annual calendars for board approvals, generate all meeting invites for appropriate attendees: board members, business partners, and staff
- Planning and logistics for in-person meetings
- Organizes and develops board agenda with input from executives and board members
- Manages electronic access to Board materials
- Maintain the Board manuals
- Facilitates appropriate reviews and circulation of draft minutes within 30 days of each meeting, occasionally draft minutes to committee meetings
- Responsible for dissemination of agendas and meeting minutes and signing them to indicate that the board of directors has approved them
- Supplies the boards with resources, developing and improving the governance program, conducting training and development of the board directors, collaborating with executive teams, and bringing new directors onboard
- Supports board committees
Office Manager
- Corporate Records and Vendor Contracts
- Work with the COO, President, and Attorneys to update and maintain electronic corporate records for all edRISK entities on OneDrive
- Assist with the maintenance of vendor contracts by facilitating appropriate outside legal and edRISK reviews, signatures, and organization on our network
- Assist in the maintenance of the contacts database and run reports as needed
- Information Technology
- Maintain relationships and contracts with IT-related vendors such as IT consultants, email and network services (Microsoft), audio-visual conferences (Zoom), telephone, website, survey distribution providers, and others as needed
- Oversee organization and coordination of company files on our network (OneDrive)
- Human Resources
- Benefits administration, including introducing new employees and helping existing staff understand and use benefits as needed
- Oversee relationships with payroll vendor, LTD, Life, 401K, etc., and assist with payroll-related compliance filings as needed
- Maintain HR Policy and Benefits Manual
- Responsible for all new hire paperwork and onboarding, including work with the hiring manager on a training plan
- Support recruiting efforts as needed
- Identify opportunities for process improvements and efficiency enhancements
- Implement best practices and standard procedures for administrative tasks
- Project Management as needed
Executive Assistant
- Support to the President/CEO and other senior leadership
- Provide high-level administrative support to multiple executives
- Manage calendars, schedule meetings, and coordinate appointments
- Coordinate logistics for meetings, conferences, and events, including room bookings, catering, and audiovisual equipment setup
- Assist with some travel accommodations

Required Qualifications:
- Bachelor’s degree in a related field
- Minimum of 10+ years of professional experience with governance within higher education and/or insurance
- Anticipate needs and proactively provide support to executives
- Handle sensitive information with confidentiality and discretion
- Adapt quickly to changing priorities and manage multiple tasks simultaneously
- Proficient in MS Office and comfortable helping with technology
- Solid influence, collaboration, and listening skills
- Superior verbal, written, and presentation skills
- Strong knowledge of corporate governance
- Experience within insurance and/or captive insurance is preferred
- Experience with educational industry, consortia, collaboratives, and coalitions preferred
- Must have a good sense of humor
